Canada

In Canada there are two types of corporations, Federal and Provincial. Either can be a numbered or named company. The main differences are as follows:

FEDERAL CORPORATIONS

The incorporation of a Federal Named Corporation will only be approved provided there is no other company in Canada with a similar name in the same activity. This actually provides an advantage as if the corporate name is approved it is protected across the country- a status second only to trade-mark protection.

The government disbursement to file Articles of Incorporation is $200.00. Additionally, Annual Returns must be submitted each year within 60 days of the anniversary date. The cost is $20.00 if filed on line or $40.00 if filed by mail. Failure to file may result in the Dissolution of the Corporation.

A Federal Company must also be registered in each province in which it wishes to do business. Registration for Newfoundland, Nova Scotia, Ontario, and Saskatchewan can be done at the same time the company is formed, on-line, by filing an Extra-provincial Registration Form 2. All other provinces must file a separate Extra-provincial Registration form. Provincial registration costs vary from province to province, anywhere from $100.00 in Alberta to $560.00 in Newfoundland. Ontario is Free!

PROVINCIAL CORPORATIONS

Provincial Corporations are less complicated and any name will be approved provided there is no other company in Canada with exactly the same name. Government disbursements vary in each province. In Ontario it is $360.00. Annual returns are not required; however a Form 1 Initial Return is required to be filed within 60 days of Incorporation.

NUANS

Incorporation of a named company, either Federal or Provincial will require a Nuans Reservation Report, which will provide you with a 6 page list of companies with similar names. This report will also protect the proposed name for 90 days.

NUANS compares your proposed corporate name or trade-mark with those that already exist. It is used when granting new corporate names, with the intent of avoiding confusion in the Canadian marketplace.

To obtain a NUANS report, you have the option of ordering your own NUANS report in real-time from the NUANS "Do it yourself" Real-Time System (RTS), for federal incorporations only, or you may elect the assistance of a Registered NUANS Member of your choice to incorporate federally and to incorporate in other jurisdictions. Stateside is a Registered Nuans Member.

FEES

Our corporate filing fee is $99.00 for either a Federal or Ontario corporation. However, we will waive the filing fee if we are retained to obtain your Canadian & U.S. Operating Authorities. Our fee is $50.00 for a Nuans.
